GENERAL TERMS AND CONDITIONS – EQUIPMENT RENTAL
These General Terms and Conditions ("Terms") apply to all offers, agreements, and services provided via the website:

Hereinafter referred to as the “Lessor.”
Article 1 – Identity of the Lessor
The website www.medisphere.nl is a commercial website and may operate under a trade name different from the registered legal entity.
All agreements concluded via this website are entered into exclusively with:
DANQ OÜ, Estonia.The Lessee acknowledges that the domain name, branding, or trade name used on the website may differ from the registered company name.
No rights can be derived from the use of trade names, logos, or domain names differing from the registered entity.
Article 2 – Scope of Application
These Terms apply to all rental agreements, offers, quotations, and services provided by the Lessor.
These Terms apply exclusively to business customers (B2B).
Any general terms of the customer are expressly rejected unless agreed otherwise in writing.
Article 3 – Offers and Agreements
All offers made by the Lessor are non-binding unless stated otherwise.
An agreement is concluded only after written confirmation by the Lessor or upon delivery of the equipment.
The Lessor reserves the right to refuse any order without providing reasons.
Article 4 – Rental and Use
The Lessor rents out professional equipment including but not limited to laser and aesthetic devices.
The Lessee shall use the equipment exclusively for professional purposes and in accordance with applicable laws and regulations.
The Lessee shall ensure that only trained personnel operate the equipment.
Article 5 – Ownership
All equipment remains the exclusive property of the Lessor at all times.
The Lessee shall not sell, transfer, pledge, or otherwise encumber the equipment.
Article 6 – Rental Fees and Payment
All prices are stated exclusive of VAT unless otherwise indicated.
For intra-EU B2B transactions, VAT shall be reverse charged in accordance with EU VAT Directive (Articles 44 and 196).
Invoices must be paid within 30 days from the invoice date.
In case of late payment:
administrative fees of €50 per reminder may be charged.
Article 7 – Deposit
The Lessor may require a security deposit prior to delivery.
The deposit may be used to cover unpaid invoices, damages, or costs related to recovery of the equipment.
Article 8 – Delivery and Risk
Delivery shall take place at the address specified by the Lessee.
Risk of loss or damage transfers to the Lessee upon delivery.
Transport costs may be charged separately.
Article 9 – Maintenance and Service
The Lessor may provide maintenance and technical support as agreed.
Consumables and wear-and-tear parts are not included unless explicitly stated.
The Lessee is responsible for proper handling and daily maintenance.
Article 10 – Damage and Liability
The Lessee is fully liable for any damage to the equipment during the rental period.
The Lessor is not liable for:
indirect damages
loss of profit
business interruption
treatment results or client-related claims.
Article 11 – Insurance
The Lessee shall insure the equipment adequately against:
theft
fire
water damage
accidental damage
Proof of insurance must be provided upon request.
Article 12 – Use Monitoring
The equipment may include systems that record usage data.
The Lessor has the right to access such data for contractual and service purposes.
Article 13 – Termination
The Lessor may terminate the agreement with immediate effect in case of:
non-payment
breach of contract
misuse of equipment
Upon termination, the Lessee must immediately return the equipment at its own expense.
All outstanding and future rental payments remain due.
Article 14 – Force Majeure
The Lessor shall not be liable for failure to perform obligations due to circumstances beyond reasonable control.
Article 15 – Governing Law
This Agreement and these Terms shall be governed exclusively by the laws of the Republic of Estonia.
Article 16 – Jurisdiction
All disputes shall be submitted exclusively to the competent court in Tallinn, Estonia, unless the Lessor chooses otherwise.
Article 17 – Final Provisions
If any provision of these Terms is deemed invalid, the remaining provisions remain in force.
Amendments must be made in writing.
